1. Overview & Agreement

By accessing this website, placing an order, or engaging Red Flamingo for web development, media buying, or AI automation services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must discontinue use of our site and services immediately.

2. Scope of Services

Red Flamingo provides direct-response digital services, including custom website development, Google & Meta paid advertising management, conversion rate optimization, and AI automation workflows. Specific deliverables, project scopes, timelines, and execution parameters are defined in individual service agreements or invoices provided upon client onboarding.

3. Payment Terms & Billing

Retainers & Upfront Costs: All setup fees, upfront retainers, and project deposits must be paid prior to the commencement of work.
Ad Spend: Client ad spend for media buying services is strictly billed directly to the Client’s own payment methods within the respective advertising platforms (Google Ads, Meta Ads Manager, etc.). Red Flamingo is not responsible for platform ad costs or billing disputes between the Client and third-party ad platforms.
Late Payments: Failure to settle invoices on time may result in immediate suspension of active campaigns, automated systems, and web services until accounts are brought current.

4. Ownership & Intellectual Property

Upon full settlement of all outstanding balances, the Client retains 100% full ownership of all ad accounts, tracking pixel data, custom domain assets, website files, and dedicated automation blueprints configured for their business. Red Flamingo retains rights to internal operational processes, proprietary code bases, and pre-existing frameworks utilized during development.

5. Client Responsibilities & Asset Access

To maintain launch timelines and campaign performance, the Client agrees to provide timely access to necessary platform permissions, branding assets, copy approvals, and technical credentials. Delays in asset delivery or approvals by the Client will push project deadlines accordingly.

6. Performance Disclaimer & Guarantees

While Red Flamingo builds revenue-driven growth engines based on cold data, direct-response methodologies, and rigorous testing, performance metrics (including traffic, leads, conversion rates, and ROI) depend on market conditions, product viability, pricing, and external platform algorithms. No specific revenue figures or lead volumes are guaranteed unless explicitly stipulated in a signed performance agreement.

7. Termination & Refunds

Services & Retainers: Due to the custom work and immediate resource allocation required for campaign setup, web builds, and automation engineering, all payments made to Red Flamingo are non-refundable.
Cancellation: Client may terminate recurring monthly services by providing a 30-day written notice prior to the next billing cycle.

8. Limitation of Liability

Red Flamingo shall not be liable for any indirect, incidental, consequential, or punitive damages arising from site downtime, third-party platform policy changes or account suspensions (e.g., Meta/Google account disables), API disruptions, or lost revenue. Our total cumulative liability shall not exceed the total amount paid by the Client to Red Flamingo during the preceding 30 days.

9. Governing Law

These terms are governed by and construed in accordance with the laws of Rwanda. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Kigali, Rwanda.
